The use of the BizHunter.com web site is subject to the following terms & conditions. By submitting information to, or retrieving information from, the BizHunter.com web site you acknowledge your agreement to the following terms & conditions. By using the web site, you are acknowledging the creation of a legally binding agreement between yourself and BizHunter, LLC.

If you do not agree to these terms & conditions, do not use the BizHunter.com web site. Any and all questions regarding these terms & conditions should be sent to legal@bizhunter.com or Terms & Conditions Inquiry, 110 West Ocean Boulevard, Suite 403, Long Beach, CA 90802. BizHunter, LLC reserves the right to update or change these terms & conditions at any time without prior notice. The most recent terms & conditions will always be available on the BizHunter.com web site.

Seller membership

BizHunter, LLC grants membership privileges to subscribing seller and broker members only. By submitting their information, prospective broker members warrant that they are a professionally licensed to list businesses and/or commercial real estate for sale in all jurisdictions in which they conduct business.

Membership privileges are personal in nature and granted only to the subscribing member. Membership rights cannot be assigned, licensed, or transferred in any manner without the express written consent of BizHunter, LLC. Members are not allowed to share their username and password with others. BizHunter, LLC reserves the right to refuse service or cancel the membership any anyone who violates these terms & conditions.

As BizHunter.com’s business is primarily conducted online, BizHunter, LLC communicates with its members primarily through e-mail. Members agree to maintain a valid, working e-mail address. Members agree to timely respond to inquiries from BizHunter.com’s users regarding listings or advertisements placed on the web site. Should a member’s e-mail address stop functioning or a member fail on a continuing basis to respond to inquiries from users, BizHunter, LLC has the right to suspend membership and any advertisements or listings of members.

Members acknowledge that by submitting their e-mail address and other information to BizHunter.com, they grant to BizHunter, LLC the right to use that information to communicate with its members. BizHunter, LLC will make best efforts to honor members’ requests to opt out of marketing messages, but under no circumstances will BizHunter, LLC have any liability to its members for e-mail sent by BizHunter, LLC or its affiliates.

Submission of listings

Any member submitting an advertisement or listing on the BizHunter.com web site warrants and guarantees that they have all rights and licenses to the information, pictures, or other materials provided and further agrees not to post in any listing information which might violate the intellectual party rights of another. BizHunter, LLC may, in its sole discretion and without any obligation to attempt to or search for, remove listings or advertisements that have been submitted in violation of this agreement. BizHunter, LLC may require proof of compliance with this agreement from its customers and clients.

Members warrant and guarantee that all information contained within a business listing is true and accurate to the best of their knowledge. Members further warrant and guarantee that they have been engaged by the business owner to market the business being listed on the BizHunter.com web site. Members agree to indemnify and hold harmless BizHunter, LLC from any liability resulting from inaccurate information contained within their own listing or from any dispute with business owners. BizHunter, LLC reserves the right to remove all or portions of any listing posted on the BizHunter.com web site. BizHunter, LLC accepts no responsibility for accuracy of information filed by members or users.

Use of information

By submitting listing information to BizHunter.com, members grant to BizHunter, LLC the right to allow the listing to be accessed, displayed, downloaded, copied, searched, or otherwise used by the public accessing the BizHunter.com web site. BizHunter, LLC shall have the sole authority to choose the manner in which member’s listings may be accessed or used on the BizHunter.com web site. Though BizHunter, LLC will take commercially steps to backup data, it is the responsibility of members to maintain back-up copies of any and all business information or materials provided to BizHunter.com.

Payment

Members and users agree to pay for all products and services ordered on the BizHunter.com web site by using the payment methods provided. Payment of fees is not contingent upon any events. Any and all collection costs, including attorney’s fees and or court costs, shall by the responsibility of the member of user. If payment is not current, BizHunter, LLC may immediately suspend all services from member or user. Membership fees are monthly and non-refundable; there will be no refunds for memberships cancelled prior to the closing of a month.

Cancellation

Members may cancel their membership at any time. Members may cancel their membership by e-mailing their request to cancellation@bizhunter.com or through their account page on the BizHunter.com web site. All cancellation requests will be processed within five (5) business days. Immediately upon cancellation, BizHunter, LLC may remove any and all advertisements or listings posted by the former-member.

Limitation of liability and indemnification

In no event shall BizHunter, LLC be liable for any indirect, special, incidental or consequential damages (including without limitation, damages for loss of business profits, loss of business, loss of use or of data, or interruption of business) arising out of this agreement. Customer's exclusive remedy, and BizHunter, LLC’s entire liability under this agreement shall be a refund to members of the fees paid to BizHunter.com hereunder, and in no event will BizHunter, LLC’s liability for any reason exceed such fee. BizHunter, LLC (and its officers, directors, employees and agents) shall not be liable for any damages whatsoever arising from members’ use of the web site, and members shall indemnify BizHunter, LLC (and BizHunter, LLC’s officers, directors, employees and agents), and hold each of them harmless from and against any and all costs, damages or losses by any of them (including, without limitation, reasonable attorneys' fees) as a result of a claim by any person other than a member arising from member’s use of the BizHunter.com web site and products.

Warranty disclaimers

The listings and service are provided "as is" without warranty of any kind. BizHunter, LLC makes no promises, representation or warranties, either express, implied, statutory, or otherwise, with respect to the listings or service, including their accuracy, operation, conformity to any representation or description, or the existence of any latent or patent defects, and BizHunter, LLC specifically disclaims all implied warranties of merchantability, non-infringement and fitness for a particular purpose and any local jurisdictional analogues to the above and other implied or statutory warranties.

Outside links

The BizHunter.com web site may contain hyperlinks to parties operated by third parties. This includes links from advertisers, sponsors, and affiliated companies. BizHunter, LLC and its operators do not control these third party operated web sites and are not responsible for their content. BizHunter, LLC disclaims any and all liability resulting from visiting these third party web sites, including any viruses, worms, trojan horses or spyware.

Legal

If any provision is found to be invalid or unenforceable by a court, such a provision shall be severed from the remainder of the agreement, which shall remain in full force and effect. Any disputes arising under this agreement or the use of the BizHunter.com web site shall be governed by the laws of the state of California, without reference to conflict of laws principles. All parties and users consent to the exclusive jurisdiction of the Los Angeles County Superior Court and/or the central district of California.
